Terms & Conditions

1. Scope of Services

These Terms govern all paid offerings from Gustavo AI Technology, including but not limited to:

• AI Prompt Engineering Training: Live workshops, on-demand modules, and resource libraries.
• AI-Based Digital Marketing: Managed services for campaign setup, optimization, and reporting.
• Custom Consulting & Integrations: Tailored projects, APIs, and enterprise solutions.

2. Definitions

• "Agreement": The contract between client and Gustavo AI that references these Terms.
• "Purchase Date": The date on which payment is processed for services.
• "Service Delivered": Percentage of milestones, modules, or deliverables completed.
• "Non-Recoverable Costs": Irrevocable expenses such as third-party licensing, travel, and materials.

3. Enrollment & Deliverables

1. Confirmation: Enrollment confirmed on receipt of deposit and executed Agreement.
2. Kickoff: Initial project kickoff within 5 business days of confirmation.
3. Deliverables: Defined in Exhibit A (for training) or SOW (for services), including timelines and acceptance criteria.
4. Revisions: Up to two rounds of adjustments per deliverable; additional changes billed at standard consulting rates.

4. Payment Terms

• Fees: As per published pricing or custom quote in the Agreement.
• Deposit & Milestones: 50% deposit due on Agreement signature; remaining 50% upon completion of milestones or program end.
• Taxes: Client responsible for any applicable taxes, duties, or levies.
  • Fees displayed are exclusive of GST/IGST/VAT.
  • Invoices will itemize taxes separately.
• Payment Methods: Wire transfer, credit card, or other mutually agreed methods.
• Invoice Disputes: Must be submitted in writing within 10 business days of invoice date.
• Late Payment: 1.5% monthly interest on overdue amounts; suspension of services if overdue exceeds 30 days.

5. Refund & Cancellation Policy

We strive for client satisfaction, but understand circumstances may change. This policy clarifies refund eligibility and process.

5.1 Full Refund

Eligible if all of the following are met:

• Cancellation request submitted within 7 calendar days of Purchase Date.
• No more than 10% of the service (modules/milestones) has been delivered.
• Request submitted via email to contact@gustavoai.shop.

5.2 Prorated Refund

Applicable when cancellation occurs between day 8 and day 30:

• Refund = (1 − Delivered %) × Total Fee − Non-Recoverable Costs.
• Example: 25% delivered → 75% refund less costs.

5.3 No Refund

• After 30 days from Purchase Date.
• When ≥50% of the service has been delivered.
• Custom consulting: no refunds once work has commenced.

5.4 Cancellation Procedure

1. Submit request by emailing contact@gustavoai.shop with:
   • Client name and contact details
   • Service/program name and Purchase Date
   • Transaction ID or invoice number
2. We will acknowledge receipt within 2 business days and confirm refund eligibility.
3. Refunds processed within 14 business days to the original payment method.
4. An itemized breakdown of Non-Recoverable Costs will be provided.

6. Intellectual Property

• All Gustavo AI materials (slides, code, templates) remain our exclusive IP.
• Clients receive a non-transferable, non-exclusive license for internal use.
• Clients own any data, prompts, or content they supply; improvements by Gustavo AI may be reused generically.

7. Confidentiality & Data Security

We prioritize your data security and confidentiality:

• Mutual NDA available upon request.
• Encryption: TLS in transit; AES-256 at rest.
• Access controls: Role-based access for project teams.
• Compliance: GDPR and other applicable data protection regulations.

8. Warranties & Disclaimers

• We warrant services will be performed with reasonable care and skill.
• No guarantee of specific business outcomes or metrics.
• All services provided "as-is"; we disclaim implicit warranties including merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim is limited to fees paid for the relevant services.
• We are not liable for indirect, incidental, special, or consequential damages, including lost profits.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes will first be addressed via mediation; if unresolved, they shall be submitted to arbitration in Delhi under ICC rules.

11. Amendments

We may modify these Terms; material changes will be communicated by email and published on our website at least 30 days before effective date.
